Employee or contractor? Get this right first
Before you draft anything, be certain which relationship you are creating — because the label on the document does not decide it. Tax authorities and employment tribunals look at how the relationship actually works.
Broadly, the more you control how the work is done rather than just what gets delivered, the more likely the arrangement is employment. Set hours, a fixed workplace, company equipment, direct supervision, exclusivity and integration into the team all point towards employment. Deliverable-based payment, control over method and schedule, working for multiple clients and providing their own tools point towards contracting.
Getting this wrong is costly. Misclassifying an employee as a contractor can lead to back payment of taxes and statutory benefits, penalties, and retrospective entitlements to leave and notice. Employment contract mistakes worth avoiding
Copying a contract from another country. This is the single most common error. A UK-style contract used in the US retains notice and dismissal language that does not fit at-will employment. A US template used in India omits statutory entitlements that apply regardless of what the contract says.
Making the non-compete too broad. Wide geographic scope and long durations are frequently unenforceable, and an unenforceable clause offers no protection at all. Narrow and specific beats sweeping and void.
